Terms of Service

These Terms of Service ("Terms") govern your access to and use of the eZar website at ezar.co.kr, including its pages, forms, newsletters, research, data, and other materials (together, the "Site").

"eZar," "we," "us," or "our" means Ezar Inc., a company incorporated under the laws of the Republic of Korea with its principal office in Seoul, together with its affiliates and its U.S. office in McLean, Virginia.

Acceptance. By accessing or using the Site, you agree to these Terms. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind it, and "you" includes that organization. If you do not agree to these Terms, do not use the Site.

1. Who the Site is for

The Site is intended for businesses and professionals, including ETF issuers, asset managers, public companies, crypto networks, and financial institutions. It is not directed at individual retail investors, and it is not intended for use in any jurisdiction where its content or use would be unlawful.

2. Client services are governed by separate agreements

eZar provides market strategy, media and PR, investor community, brand awareness, distribution channel, and data and measurement services only under a separate written agreement, statement of work, or order form. If that agreement conflicts with these Terms, the agreement controls for the services it covers. Nothing on the Site creates a client relationship or an obligation to provide services.

3. No investment advice and no offer

eZar is a marketing, communications, and market-intelligence firm. Unless expressly stated in a separate written agreement, eZar is not acting as a broker-dealer, investment adviser, fiduciary, financial investment business entity, or virtual asset service provider, and does not provide legal, tax, accounting, or regulatory advice.

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security, fund, token, or other financial product, and nothing on the Site is a recommendation to buy, sell, or hold any of them. References to specific funds, stocks, tokens, or issuers are for illustration or market reporting only.

4. Research, market data, and sample materials

Research, commentary, and data on the Site, including figures from third-party sources such as the Korea Securities Depository and the Financial Services Commission, are provided for general information. They may be delayed, incomplete, estimated, or later revised, and we do not guarantee their accuracy or completeness.

• Sample dashboards and illustrative figures are labeled as such and do not show actual holdings, flows, or client results.
• Past holdings, flows, or campaign results do not predict future results.
• You are responsible for your own business, investment, marketing, and compliance decisions.

5. Using the Site

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for your internal business purposes, including evaluating eZar's services. You agree not to:

• Copy, republish, sell, or redistribute Site content, research, or data, except for brief quotation with attribution;
• Scrape, crawl, or harvest the Site or its data by automated means, or use it to train or build a competing product or dataset;
• Interfere with or disrupt the Site, attempt to gain unauthorized access, or introduce malicious code;
• Misrepresent your identity or your affiliation with eZar or any client; or
• Use the Site in violation of any applicable law or regulation.

6. Intellectual property

The Site and its content, including text, design, graphics, research, data compilations, and software, are owned by eZar or its licensors and are protected by intellectual property laws. The eZar name and logo are trademarks of eZar. Except for the limited right in Section 5, no rights are granted to you.

Client and third-party names and logos belong to their respective owners and appear with permission. Their appearance does not mean that any client endorses a product, or that eZar endorses a client's products.

7. Information you send us

When you submit a form, subscribe to a newsletter, or contact us, you agree that the information you provide is accurate and that you are authorized to share it. Please do not send confidential or material non-public information unless it is covered by a confidentiality agreement with eZar.

We use the information you provide to respond to you, to send communications you request, and to operate and improve the Site. You can unsubscribe from marketing emails at any time. We handle personal information in accordance with the Personal Information Protection Act of Korea and other applicable laws, as described in our Privacy Policy.

8. Feedback

If you send us suggestions or feedback about the Site or our services, we may use them without restriction or obligation to you.

9. Third-party links

The Site may link to third-party websites, including news coverage and data sources. We do not control those sites and are not responsible for their content, accuracy, or practices.

10. Disclaimer of warranties

The Site is provided "as is" and "as available." To the fullest extent permitted by law, eZar disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

11. Limitation of liability

To the fullest extent permitted by law, eZar will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or investment value, arising from or related to your use of the Site, even if advised of the possibility of those damages. eZar's total liability for any claim arising from or related to the Site will not exceed one hundred thousand Korean won (KRW 100,000).

These limits do not apply to damages caused by eZar's intentional misconduct or gross negligence, or where applicable law does not allow them.

12. Indemnification

You agree to defend, indemnify, and hold harmless eZar and its affiliates, officers, employees, and agents from any claims, losses, and expenses, including reasonable legal fees, arising from your misuse of the Site or your violation of these Terms or applicable law.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date above. Your continued use of the Site after an update means you accept the updated Terms.

14. Governing law and venue

These Terms are governed by the laws of the Republic of Korea, without regard to its conflict-of-laws rules. The Seoul Central District Court has exclusive jurisdiction as the court of first instance over any dispute arising out of or relating to these Terms or the Site.

15. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms are the entire agreement between you and eZar about the Site. If we provide a translation of these Terms, the English version controls to the extent permitted by law.
